Non Disclosure Agreement (NDA)

CONFIDENTIALITY AGREEMENT TO ATTEND PITCH NIGHT

BACKGROUND

A.                      The Attendee will be provided with information at Pitch Night meeting which is commercially sensitive and may be highly confidential.

B.                      The Attendee has agreed to be bound by duties of confidentiality and secrecy.

IT IS AGREED as follows :

1. Definitions
“Confidential Information” shall mean all information and data which is disclosed to The Attendee, and which relates to the business activities of the organisations presenting at Firestation Pitch Night and which is not in the public domain.

2. Non-Disclosure
In consideration of The Attendee receiving Confidential Information at Pitch Night, The Attendee agrees not to disclose or otherwise publish any Confidential Information without the prior written consent of Firestation and the Businesses that presented at the Pitch Night event.

3. Use
The Attendee agrees not to use the Confidential Information for any purpose other than that for which the information was provided.

4. Material
The Attendee shall take all reasonable care to ensure that all materials in the possession of The Attendee which contain or incorporate any Confidential Information be securely kept; and shall return, destroy or otherwise deal with as directed all material containing or incorporating Confidential Information from Pitch Night.

5. Other Agreements
The Attendee’s obligations in respect of the Confidential Information shall be in addition to any other obligation under any other agreement which involves the Confidential Information, unless expressly excluded by reference.

6. Term of Agreement
This agreement shall continue until an agreement has been reached or obligations under this agreement shall cease.
